1. Agreement
These Terms & Conditions (“Terms”) govern access to and use of the website zybercore.in and any related services offered by Zybercore IT Private Limited (“Zybercore”, “we”, “us”, or “our”), with office at Ananta Tower, Ulwe, Navi Mumbai. By using this website or engaging our services, you agree to these Terms.
2. Services
Zybercore provides information technology services including, without limitation, web development, mobile application development, interactive software and game development, fractional CTO services, freelance engineering support, and technology consulting. Specific deliverables, timelines, fees, and acceptance criteria are defined in a separate proposal, statement of work, or written agreement (“Service Agreement”).
Website content is for general information only and does not constitute a binding offer unless confirmed in a Service Agreement.
3. Client responsibilities
You agree to:
- Provide accurate information, timely feedback, and access required to perform the services.
- Ensure you have rights to materials, data, and accounts you supply to Zybercore.
- Use deliverables in compliance with applicable law and third-party terms.
- Make payments according to the agreed schedule in the Service Agreement.
4. Intellectual property
Unless otherwise agreed in writing, upon full payment of applicable fees, Zybercore assigns to the client ownership of custom deliverables created specifically for that engagement. Zybercore retains ownership of pre-existing tools, frameworks, libraries, templates, know-how, and methodologies. Open-source or third-party components remain subject to their respective licenses.
5. Fees and payment
Fees, invoicing frequency, and payment terms are set out in the Service Agreement. Overdue amounts may accrue interest at the rate stated in that agreement or, if none is stated, at the maximum rate permitted by applicable law. Zybercore may suspend work for unpaid invoices after reasonable notice.
6. Confidentiality
Each party shall protect the other’s confidential information with reasonable care and use it only for performing or receiving the services, except where disclosure is required by law or already public through no fault of the receiving party.
7. Warranties and disclaimers
Services are provided with professional skill and care. Except as expressly stated in a Service Agreement, Zybercore disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose. Website information is provided “as is” without warranty of completeness or accuracy.
8. Limitation of liability
To the fullest extent permitted by law, Zybercore’s total liability arising out of or related to the services or these Terms shall not exceed the fees paid by you to Zybercore for the specific engagement giving rise to the claim in the twelve (12) months preceding the claim. Zybercore shall not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data.
9. Term and termination
Either party may terminate a Service Agreement as specified therein. Upon termination, you remain responsible for fees for work performed and approved expenses. Provisions that by nature should survive (including IP, confidentiality, and limitation of liability) continue after termination.
10. Acceptable use of the website
You must not:
- Attempt to disrupt, probe, or gain unauthorized access to the website or related systems.
- Use the site to transmit malware, spam, or unlawful content.
- Misrepresent affiliation with Zybercore.
11. Governing law
These Terms are governed by the laws of India. Subject to mandatory law, courts in Maharashtra shall have exclusive jurisdiction over disputes arising from these Terms or the website, without prejudice to any dispute resolution clause in a Service Agreement.
12. Changes
We may update these Terms from time to time. The “Last updated” date above reflects the latest revision. Continued use of the website after changes constitutes acceptance of the revised Terms.
